All rights not expressly granted in this agreement are reserved.
  • Financial Transactions: FundThatSound acts as an intermediary between Pledgers and Artists, and all monies collected are held on account until they are disbursed. When a payment is made, FundThatSound will charge participating Pledger’s credit cards or payment accounts for the pledged amount. The money is hosted on the payment portals and accounts of Fund That Sound. When the “target goal” of 100% is reached by a project, FundThatSound will then make any charitable contribution required as part of the Campaign, and disburse funds to cover the Artist’s recording and associated expenses (including FundThatSound 8% fee for running the Campaign). If a Campaign does not reach the Pledge Target, or expires before collecting enough contributions to meet its target, FundThatSound will refund the donations. When the 100% target is reached, no refund is possible. If a project reaches 70% of its goal but not 100%, Fund That Sound will discuss a new plan with the artist and contact the pledgers in order to inform them of the new project form if there are any changes. The pledgers can then decide to ask for a refund, or decide to keep the donation active for the new plan. When the Artist can provide to FundThatSound the total garantie that the project will happen in any case and that he will be can be in state of delivering the rewards, no matter what the final budget reached is, there is no minimal Percentage of the Target goal to be reached in order to consider the campaign as successful, so all donations will be processed at the end of the campaign date.
. FundThatSound is in no way responsible for the performance or obligations of the Artist. After FundThatSound charges a Pledger’s credit card or other payment account there will be no refunds, unless in its sole discretion FundThatSound determines that a refund is appropriate (and any refunds made shall be subject to any associated transaction costs). FundThatSound is under no obligation to become involved in disputes between Pledgers and Artists, or between Pledgers and any third party. In the event of a dispute, you release FundThatSound, its officers, employees, agents and successors from claims, damages, or demands of any kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service. Artists are wholly responsible for fulfilling obligations both implied and stated in any campaign created under their name. FundThatSound will engage in commercially reasonable efforts to collect monies committed by Pledgers, however FundThatSound does not guarantee that it will collect the full amount of money committed by Pledgers. FundThatSound reserves the right to terminate a Campaign and refund all Pledgers payments at any time for any reason if the Artist is not fulfilling its engagements. In the case a campaign doesn’t reach the predetermined collection point, the Artist, in accord with FundThatSound may agree in making a new campaign plan with a lower target budget. In that case, the pledgers who already made donations will be informed by email if the final project is alterated in any way. The pledgers will be then free to ask a refund in case they wouldn’t agree with the new Campaign Plan. If the artist can provide a garantie that the project will not change in any way, the target goal can be modified without any notification.

Supplemental Terms and Conditions – Artists

  • Fund That Sound (“FundThatSound”) is an online service provided by the non-profit foundation Stichting Fund That Sound (RSIN Nr : 853162451) that facilitates music fans and corporates (a “Pledger”) contributing to the production costs of independent musician’s (the “Artist”) music and also (optionally) to contribute to a charity designated by the Artist (the “Charity”) (collectively, the “Service”). The Service is operated from the website www.fundthatsound.com. The use of the FundThatSound Service by an Artist to raise money from Pledgers shall be referred to as a “Campaign”. These Supplemental Terms and Conditions govern the relationship between FundThatSound and an Artist in relation to the Service.
  • Signing up: In signing up to use the Service, or during their Campaign, Artists may be requested to provide information to FundThatSound relevant to their Campaign. Artists will provide this information promptly and in good faith, and provide all other assistance and information reasonable requested by FundThatSound. In order to sign up, the artist is paying a subscription fee of €100- before start of the campaign. This fee will be reimbursed if the funding campaign is successful.
  • Withdrawal before Pledge Target: Artists may at any time before reaching their Pledge Target, but always on 30 days notice, withdraw from the Service and terminate their Campaign by emailing their personal project manager at fundthatsound@gmail and providing details of their reasons.
  • Withdrawal after Pledge Target: Artists who have reached their Pledge Target are committed to completing and producing and distributing their project. If for any reason this is not possible the Artist must immediately inform FundThatSound of this fact, and cooperate fully and in the utmost of good faith with FundThatSound to address this situation in a way that is consistent with the interests of FundThatSound, the Artist, and involved Pledgers.
  • Disbursement of pledged monies: Monies collected by FundThatSound for a Campaign will be held on account for the Artist. FundThatSound will immediately make any Charitable Contributions required by the Campaign in the Artist’s name, and then disburse funds to cover the Artist’s recording and associated expenses (including 8% FundThatSound’s fee for running the Campaign) directly to the service providers involved or to the Artists themselves if so agreed beforehand. In the first case, The Artist and FundThatSound will agree together on which services providers are suitable for the Artists Campaign requirements, and FundThatSound shall contract directly with these service providers for the Artists requirements. If FundThatSound has reason to believe that Artist will not complete their Campaign obligations FundThatSound may cease to disburse funds for the Artist, and require that the Artist enter into discussions with FundThatSound to address FundThatSound’s concerns regarding the completion of the campaign obligations. If the Artist and FundThatSound are unable to reach a satisfactory agreement regarding the outstanding campaign obligations of the Artist FundThatSound may terminate the Campaign and refund monies to Pledgers of the Campaign in proportion to the amounts remaining in the account for the Campaign. Interest on all funds held shall accrue to the benefit of FundThatSound.
  • In the case when monies are transferred directly to the artist, the artist must provide a valid bank account number and a bank account statement as well of a receipt of payment. In the case the bank account holder is someone else than the Artist himself, a signed letter with all the bank info should be provided to Fund That Sound as a prove that payment has been clearly processed.
  • ChargeBacks and Refunds: If, for any reason, FundThatSound is required to refund monies to Pledgers of a Campaign after that the monies have been disbursed, the Artist will fully compensate FundThatSound for the amount refunded as well as any associated costs, including but not limited to transaction or administrative costs .
  • Pledgers can ask for refunds at any time before the campaign reaches the determined collection point. This can be easily done by sending an email mentioning the name, date of transaction, artist supported and amount pledged at fundthatsound@gmail.com. The full amount donated will then be refunded minus 8% transaction costs.
  • Intellectual Property: Artist shall fully own all the intellectual property to all publishings and recordings they create through or result from their Campaign. In certain cases, where the Artist agrees with FundThatSound that some 3rd party investors (brands, companies) will finance their projects, The Artist, FundThatSound and the 3rd Party will make agreements discussed case by case between the involved parties. This contract will then have priority above this Terms and Conditions.
  • Representations, Warranties and Indemnities: Artist hereby warrants and represents that: (i) It has the right and power to enter into and fully perform all of its obligations under this Agreement; (ii) It has the authority and right to provide FundThatSound with the rights granted herein; (iii) FundThatSound’s exercise of the rights granted herein will not infringe upon any copyright, trademark, right of publicity, moral right or other proprietary, intellectual property, contractual or other right of any person anywhere in the world; (iv) Neither the recordings, nor any other content provided to FundThatSound by the Artist violate any applicable laws or regulations, including, without limitation, defamation and obscenity laws; (v) The recordings do not include any unlicensed samples or interpolations, Artist shall have the sole responsibility to ensure, as necessary, that all recordings are fully licensed; (vi) No agreement of any kind entered into by Artist does or will interfere in any manner with FundThatSound’s complete performance of this Agreement, or with the rights granted to FundThatSound herein; and (vii) FundThatSound shall not be required to make any payments to third parties in connection with exploitation of the Masters, Controlled Compositions or Content hereunder. Artist will defend, indemnify, and hold harmless FundThatSound, its parents, subsidiaries, affiliates, and their respective directors, officers, employees, and agents, with respect to any claim, demand, cause of action, or debt or liability brought by or claimed by any third party, including attorneys’ fees, to the extent that any such claim is based upon or arises out of a breach of any of Licensor’s representations, warranties, covenants, or obligations.
  • Tax or other financial obligations: Artist will be fully responsible for any taxation or other financial obligations arising out of its participation in the service.
